1. What are the types of foreign-invested enterprises that are newly established after January 1, 2020?

A foreign-invested enterprise may be registered as a "limited liability company", a "company limited by shares" or a "partnership enterprise", and shall indicate whether it is invested by a foreign investor or by an investor from Hong Kong, Macao or Taiwan. A joint-stock company shall be also marked "listed" or "unlisted".

2. Can the registered capital of a foreign-invested enterprise be expressed in a currency other than Renminbi?

The registered capital (amount of contribution) of a foreign-invested enterprise can be expressed either in Renminbi or in another freely convertible foreign currency.

3.What is the information reporting system for foreign-invested enterprises?

Foreign investors or foreign-invested enterprises shall report investment information to the competent department of commerce through the national enterprise registration system and the enterprise credit information disclosure system. When applying for registration of establishment or change of a foreign-invested enterprise, the applicant shall fill in the initial report and the change report of the foreign investment, or continue to fill in the foreign investment information report after applying for enterprise registration. Foreign investors or foreign-invested enterprises shall submit "all-in-one" annual reports through the national enterprise credit information disclosure system.

4.How should foreign-invested enterprises understand and follow the Negative List?

The registration authority shall conduct a formal examination on the relevant application materials. Foreign investors or foreign-invested enterprises that invest in fields other than the Negative List shall be registered in accordance with the principle of consistency for domestic and foreign investment. For foreign investors or foreign-invested enterprises investing in areas where the Negative List has restrictive provisions on the investment proportion, the nationality of the legal representative (main person in charge) and others, they shall be registered in accordance with the law if they meet the requirements of the Special Administrative Measures for Access; if the competent authority of the industry has approved the relevant enterprise-related business license items in accordance with the law before the registration, it does not need to conduct repeated examination on whether it meets the requirements of the Special Administrative Measures for Access. Foreign investors or foreign-invested enterprises investing in the areas where investment is prohibited under the Negative List shall not be registered.

5.For a foreign natural person investor who has already set up a one-person limited liability company, is it allowed to set up a new one-person company after January 1, 2020?

Yes. According to the Notice on Doing a Good Job in the Administration of Foreign-invested Simple and Low-risk Engineering Projects (Jing Fa Gai [2020] No. 232) and the Notice on Further Doing a Good Job in Simple and Low-risk Engineering Projects with Social Investment (Jing Fa Gai [2020] No. 238), examination and approval of all simple and low-risk engineering projects that are foreign investment projects within the jurisdiction of this Municipality will be cancelled and changed to record management. Among them, the foreign investment projects within the jurisdiction of municipal approval and record will be delegated to the districts where the projects are located for record management.

The Beijing Public Service Information Database for Overseas Intellectual Property Rights has set up 6 major sections:

There are two types of guidance for overseas intellectual property rights dispute in Beijing:

(1) Participating in the Beijing Overseas Intellectual Property Rights Protection Assistance Project;

(2) Applying for expert guidance on overseas intellectual property disputes. The applicants of the Beijing Overseas Intellectual Property Rights Protection Assistance Project shall be enterprises, public institutions or social organizations incorporated or registered in Beijing, with significant issues such as ongoing overseas intellectual property disputes. The Assistance Project will issue application notices for centralized application on a yearly basis, and the enterprises, public institutions or social organizations and intellectual property service agencies can file jointly through the "Beijing Governmental Service Website" (banshi.beijing.gov.cn). The Assistance Project is carried out by entrusting government funds to professional services, providing such services as legal consultation, infringement risk analysis, and expert demonstration of response plans for overseas intellectual property disputes and other significant issues. To obtain Beijing expert guidance service on overseas intellectual property disputes, you shall submit a clear request to the Beijing Intellectual Property Rights Protection Assistance Centre. The Centre will invite experts to provide you with one-on-one counseling services on specific issues based on your request.
